Welcome to SEObot AI! These Terms of Service (“Terms”) govern your use of the website located at https://seobotai.com and https://app.seobotai.com and the SEObot AI platform, tools, API, and integrations (collectively, the “Service”). Our Privacy Policy also governs your use of our Service and explains how we collect, safeguard, and disclose information that results from your use of the Service.
Your agreement with us includes these Terms and our Privacy Policy (together, the “Agreements”). You acknowledge that you have read and understood the Agreements and agree to be bound by them. If you do not agree with or cannot comply with the Agreements, then you may not use the Service. These Terms apply to all visitors, users, and others who wish to access or use the Service.
(a) “Account” means a registered user account on the Service.
(b) “Content” means any information, text, graphics, images, or other material posted, generated, stored, or made available through the Service.
(c) “Credits” means the units of generation capacity purchased by an Account holder that are consumed when the Service generates Content.
(d) “Domain” means a website domain (e.g., example.com) added to an Account for management through the Service.
(e) “Domain Owner” means the individual or entity that holds the registrar-level registration for a Domain, or their authorized representative.
(f) “Generated Content” means articles, metadata, SEO data, analytics, keyword research, and any other output produced by the Service for a specific Domain.
(g) “Managing Account” means the Account currently authorized to manage a Domain within the Service.
By creating an Account on our Service, you agree to subscribe to newsletters, marketing or promotional materials, and other information we may send. However, you may opt out of receiving any, or all, of these communications from us by following the unsubscribe link or by emailing us at support@seobotai.com.
If you wish to purchase any product or service made available through the Service (“Purchase”), you may be asked to supply certain information relevant to your Purchase, including your credit card number, the expiration date of your credit card, your billing address, and your shipping information. You represent and warrant that: (i) you have the legal right to use any credit card(s) or other payment method(s) in connection with any Purchase; and that (ii) the information you supply to us is true, correct, and complete.
We may employ the use of third-party services for the purpose of facilitating payment and the completion of Purchases. By submitting your information, you grant us the right to provide the information to these third parties, subject to our Privacy Policy.
When you create an Account with us, you guarantee that you are above the age of 18, and that the information you provide us is accurate, complete, and current at all times. Inaccurate, incomplete, or obsolete information may result in the immediate termination of your Account.
You are responsible for maintaining the confidentiality of your Account and password, including but not limited to the restriction of access to your computer and/or Account. You agree to accept responsibility for any and all activities or actions that occur under your Account and/or password, whether your password is with our Service or a third-party service. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your Account.
You may not use as a username the name of another person or entity that is not lawfully available for use, a name or trademark that is subject to any rights of another person or entity other than you without appropriate authorization, or any name that is offensive, vulgar, or obscene.
We reserve the right to refuse service, terminate Accounts, remove or edit Content, or cancel orders in our sole discretion.
Some parts of the Service are billed on a subscription basis (“Subscription(s)”). You will be billed in advance on a recurring and periodic basis (“Billing Cycle”). Billing cycles are set either on a monthly or annual basis, depending on the type of subscription plan you select when purchasing a Subscription.
At the end of each Billing Cycle, your Subscription will automatically renew under the exact same conditions unless you cancel it or SEObot AI cancels it. You may cancel your Subscription renewal either through your online account management page or by contacting our customer support team.
SEObot AI may offer a free trial that allows you to experience the Service with limited functionality or a limited number of generated articles. The terms of any free trial, including duration and scope, will be communicated at the time the trial is offered. No billing information is required during the free trial period. You may upgrade to a paid Subscription at any time to access additional features and generation capacity.
SEObot AI, in its sole discretion and at any time, may modify Subscription fees. Any Subscription fee change will become effective at the end of the then-current Billing Cycle. SEObot AI will provide you with reasonable prior notice of any change in Subscription fees to give you an opportunity to terminate your Subscription before such change becomes effective. Your continued use of the Service after the Subscription fee change comes into effect constitutes your agreement to pay the modified Subscription fee amount.
Credits purchased through the Service belong to the Account that purchased them. Credits are non-transferable between Accounts except as expressly provided in these Terms.
Credits are consumed at the time Content is generated by the Service. Once a Credit has been used to generate Content, the transaction is considered complete. Consumed Credits are non-refundable regardless of any subsequent Domain transfer, Account changes, or cancellation.
When a Domain is transferred between Accounts pursuant to Section 14:
(a) Unused Credits remain in the prior Account holder’s Account and may be applied to any other Domain managed by that Account;
(b) No Credits are transferred to or debited from the new Account holder as part of the Domain transfer; and
(c) The new Account holder is responsible for purchasing their own Credits to generate new Content for the transferred Domain.
We issue refunds for unused Credits within seven (7) days of the original purchase. After seven (7) days, unused Credits remain available in your Account but are not eligible for monetary refund. A Domain transfer does not entitle the prior Account holder to a refund for Credits that have already been consumed.
When you add a Domain to the Service, you represent and warrant that you are the Domain Owner, or that you have been duly authorized by the Domain Owner to manage the Domain on their behalf. Adding a Domain to your Account does not confer ownership of that Domain upon you or upon SEObot AI.
We may require verification of Domain ownership or authorization at any time, including but not limited to when a Domain is initially added, when a transfer is requested, or when a dispute arises. Verification methods may include, at our sole discretion:
(a) Adding a DNS TXT record at the domain registrar level;
(b) Placing a verification file in the Domain’s root directory;
(c) Confirming ownership via the WHOIS registrant email address; or
(d) Any other method we deem appropriate to establish Domain control.
If two or more Accounts claim the right to manage the same Domain, the party that can demonstrate Domain control through the verification methods described in Section 10.2 will be granted access. We are not obligated to mediate disputes between Account holders and Domain Owners, and we are not liable for any losses arising from Domain ownership or transfer disputes between third parties.
All Generated Content produced by the Service is associated with the Domain for which it was generated, not with the Account that initiated its generation. Generated Content is a derivative of the Domain’s context, branding, target audience, and SEO profile.
The Domain Owner retains all rights to Generated Content created for their Domain through the Service. The Account holder that initiates content generation receives a non-exclusive, non-transferable license to access and manage the Generated Content solely through the Service and solely for the duration of their authorized management of the Domain.
When a Domain is transferred between Accounts pursuant to Section 14, all Generated Content associated with that Domain transfers with it. The prior Account holder’s license to access such Generated Content terminates upon completion of the transfer.
Content generated by the Service is produced using artificial intelligence and automated processes. While we strive for quality, SEObot AI does not guarantee that Generated Content will be accurate, complete, original, free of errors, or suitable for any particular purpose. You are solely responsible for reviewing, editing, and approving all Generated Content before publication. SEObot AI is not liable for any claims, damages, or losses arising from the publication of Generated Content on your Domain or elsewhere.
The Service may allow you to post, link, store, share, and otherwise make available certain information, text, graphics, or other material that you create or own (“User Content”). You are responsible for the User Content that you submit to or through the Service, including its legality, reliability, and appropriateness.
By submitting User Content on or through the Service, you represent and warrant that: (i) the User Content is yours or you have the right to use it and to grant us the rights and license as provided in these Terms, and (ii) the submission of your User Content does not violate the privacy rights, publicity rights, copyrights, contract rights, or any other rights of any person or entity.
The Service may provide integrations with third-party platforms (including but not limited to WordPress, Webflow, Shopify, HubSpot, and other content management systems) as well as a REST API and webhooks (collectively, “Integrations”).
You acknowledge that Integrations depend on the availability and functionality of third-party platforms over which SEObot AI has no control. We do not warrant that Integrations will be available, uninterrupted, or error-free. Changes by third-party platform providers may affect the functionality of Integrations without notice.
When a Domain is transferred between Accounts pursuant to Section 14, all active Integrations associated with that Domain under the prior Account are disconnected. The new Account holder is responsible for configuring their own Integrations.
Use of the API is subject to rate limits and fair usage policies as published in our documentation. We reserve the right to throttle or suspend API access for any Account that exceeds reasonable usage limits.
A Domain may be transferred from one Account to another when the following conditions are met:
(a) The requesting party demonstrates Domain ownership or authorization through the verification methods described in Section 10.2;
(b) The requesting party has an active Account on the Service; and
(c) The requesting party acknowledges and accepts these Terms.
Upon a verified Domain transfer:
(a) All Domain-associated data, including Generated Content, analytics, SEO metadata, keyword data, and publishing history, transfers to the new Managing Account;
(b) The prior Account’s access to the Domain and all associated data is terminated;
(c) Active Integrations associated with the Domain under the prior Account are disconnected; and
(d) Both the prior and new Account holders are notified of the transfer via their registered email addresses.
SEObot AI is not responsible for any business disputes between the prior Account holder and the new Account holder, or between either party and the Domain Owner. Our sole obligation is to verify Domain control and execute the transfer in accordance with this Section.
If you use the Service to manage Domains on behalf of third parties (such as clients in an agency or consulting relationship), you represent and warrant that you have been duly authorized by the Domain Owner to act on their behalf. You acknowledge that such authorization may be revoked by the Domain Owner at any time.
In the event of a conflict between an Account holder’s claim to manage a Domain and a verified Domain Owner’s instructions, the verified Domain Owner’s instructions shall take precedence. This includes, without limitation, requests to transfer a Domain to a different Account.
Account holders managing Domains on behalf of third parties are solely responsible for:
(a) Maintaining appropriate agreements with their clients regarding the use of the Service;
(b) Ensuring their clients are aware that the Service is being used on their Domain; and
(c) Facilitating Domain transfers in a timely manner when the agency relationship ends.
(d) Resolving any disputes with their clients regarding ownership of, rights to, or compensation for Generated Content, backlinks, SEO assets, or other deliverables produced through the Service, without involving SEObot AI as a party to such disputes.
Our Service may contain links to third-party websites or services that are not owned or controlled by SEObot AI. SEObot AI has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party websites or services. We do not warrant the offerings of any of these entities, individuals, or their websites.
YOU ACKNOWLEDGE AND AGREE THAT SEOBOTAI.COM SHALL NOT BE RESPONSIBLE OR LIABLE, DIRECTLY OR INDIRECTLY, FOR ANY DAMAGE OR LOSS CAUSED OR ALLEGED TO BE CAUSED BY OR IN CONNECTION WITH USE OF OR RELIANCE ON ANY SUCH CONTENT, GOODS, OR SERVICES AVAILABLE ON OR THROUGH ANY SUCH THIRD-PARTY WEBSITES OR SERVICES.
WE STRONGLY ADVISE YOU TO READ THE TERMS OF SERVICE AND PRIVACY POLICIES OF ANY THIRD-PARTY WEBSITES OR SERVICES THAT YOU VISIT.
The Service, its original features, functionality, and underlying technology (including but not limited to the SEObot AI platform, algorithms, user interface, and documentation) are and will remain the exclusive property of SEObot AI and its licensors. The Service is protected by copyright, trademark, and other laws of the United States and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of SEObot AI.
For the avoidance of doubt, this Section does not apply to Generated Content, which is governed by Section 11.
You agree not to use the Service:
(a) In any way that violates any applicable national or international law or regulation;
(b) To exploit or harm minors in any way;
(c) To generate or distribute spam, misleading content, or content intended to manipulate search engine rankings in a manner that violates search engine guidelines;
(d) To generate content that is defamatory, obscene, or infringes the intellectual property rights of third parties;
(e) To use any robot, spider, or other automatic device, process, or means to access the Service for any purpose, including monitoring or copying any of the material on the Service, except through our published API in accordance with its documentation;
(f) To engage in any conduct that restricts or inhibits anyone’s use or enjoyment of the Service; or
(g) To use the Service in a manner inconsistent with the principle of fair usage, including engaging in any form of cheating or dishonest practices.
Any contests, sweepstakes, or other promotions (collectively, “Promotions”) made available through the Service may be governed by rules that are separate from these Terms. If you participate in any Promotions, please review the applicable rules as well as our Privacy Policy. If the rules for a Promotion conflict with these Terms, the Promotion rules will apply.
We may use third-party service providers to monitor and analyze the use of our Service, such as Google Analytics. The use of such third-party services is subject to their own terms and privacy policies.
We reserve the right to withdraw or amend our Service, and any service or material we provide via the Service, in our sole discretion without notice. We will not be liable if for any reason all or any part of the Service is unavailable at any time or for any period.
We may amend these Terms at any time by posting the amended terms on this site. We may, but are not obligated to, notify Account holders of material changes. It is your responsibility to review these Terms periodically.
Your continued use of the Service following the posting of revised Terms means that you accept and agree to the changes. If you do not agree to the new Terms, you are no longer authorized to use the Service.
IN ACCORDANCE WITH APPLICABLE LAW, YOU AGREE TO HOLD US AND OUR OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS HARMLESS FOR ANY INDIRECT, PUNITIVE, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGE, HOWEVER IT ARISES (INCLUDING ATTORNEYS’ FEES AND ALL RELATED COSTS AND EXPENSES OF LITIGATION AND ARBITRATION, OR AT TRIAL OR ON APPEAL, IF ANY, WHETHER OR NOT LITIGATION OR ARBITRATION IS INSTITUTED), WHETHER IN AN ACTION OF CONTRACT, NEGLIGENCE, OR OTHER TORTIOUS ACTION, OR ARISING OUT OF OR IN CONNECTION WITH THESE TERMS, INCLUDING WITHOUT LIMITATION ANY CLAIM FOR PERSONAL INJURY OR PROPERTY DAMAGE.
EXCEPT AS PROHIBITED BY LAW, IF THERE IS LIABILITY FOUND ON THE PART OF SEOBOT AI, IT WILL BE LIMITED TO THE AMOUNT PAID FOR THE PRODUCTS AND/OR SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, AND UNDER NO CIRCUMSTANCES WILL THERE BE CONSEQUENTIAL OR PUNITIVE DAMAGES.
WITHOUT LIMITING THE FOREGOING, SEOBOT AI SHALL NOT BE LIABLE FOR ANY DAMAGES ARISING FROM: (I) DOMAIN TRANSFER DISPUTES BETWEEN ACCOUNT HOLDERS OR BETWEEN AN ACCOUNT HOLDER AND A DOMAIN OWNER; (II) THE ACCURACY, COMPLETENESS, OR SUITABILITY OF GENERATED CONTENT; OR (III) ANY THIRD-PARTY CLAIMS RELATED TO CONTENT PUBLISHED ON YOUR DOMAIN.
Some states do not allow the exclusion or limitation of punitive, incidental, or consequential damages, so the prior limitation or exclusion may not apply to you.
We may terminate or suspend your Account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of these Terms.
If you wish to terminate your Account, you may simply discontinue using the Service or contact us at support@seobotai.com.
Upon termination of your Account:
(a) Your access to the Service and all Account data is terminated;
(b) Unused Credits are forfeited unless a refund is requested within the period specified in Section 9.4;
(c) Generated Content associated with Domains you managed remains associated with those Domains and may be accessed by the Domain Owner or a subsequent Managing Account; and
(d) All provisions of these Terms which by their nature should survive termination shall survive, including without limitation ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
THESE SERVICES ARE PROVIDED BY SEOBOT AI ON AN “AS IS” AND “AS AVAILABLE” BASIS. SEOBOT AI MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, AS TO THE OPERATION OF THE SERVICE, OR THE INFORMATION, CONTENT, OR MATERIALS INCLUDED THEREIN. YOU EXPRESSLY AGREE THAT YOUR USE OF THE SERVICE, ITS CONTENT, AND ANY SERVICES OR ITEMS OBTAINED FROM US IS AT YOUR SOLE RISK.
NEITHER SEOBOT AI NOR ANY PERSON ASSOCIATED WITH SEOBOT AI MAKES ANY WARRANTY OR REPRESENTATION WITH RESPECT TO THE COMPLETENESS, SECURITY, RELIABILITY, QUALITY, ACCURACY, OR AVAILABILITY OF THE SERVICE. WITHOUT LIMITING THE FOREGOING, NEITHER SEOBOT AI NOR ANYONE ASSOCIATED WITH SEOBOT AI REPRESENTS OR WARRANTS THAT THE SERVICE, ITS CONTENT, OR ANY SERVICES OR ITEMS OBTAINED THROUGH THE SERVICE WILL BE ACCURATE, RELIABLE, ERROR-FREE, OR UNINTERRUPTED, THAT DEFECTS WILL BE CORRECTED, THAT THE SERVICE OR THE SERVERS THAT MAKE IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT THE SERVICE OR ANY SERVICES OR ITEMS OBTAINED THROUGH THE SERVICE WILL OTHERWISE MEET YOUR NEEDS OR EXPECTATIONS.
WITHOUT LIMITING THE FOREGOING, SEOBOT AI MAKES NO WARRANTY REGARDING THE SEO PERFORMANCE, SEARCH ENGINE RANKINGS, TRAFFIC, OR BUSINESS RESULTS THAT MAY OR MAY NOT RESULT FROM THE USE OF THE SERVICE OR GENERATED CONTENT.
SEOBOT AI HEREBY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO ANY WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT, AND FITNESS FOR A PARTICULAR PURPOSE. THE FOREGOING DOES NOT AFFECT ANY WARRANTIES WHICH CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.
These Terms shall be governed and construed in accordance with the laws of the State of Delaware without regard to its conflict of law provisions.
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our Service and supersede and replace any prior agreements we might have had between us regarding the Service.
You may provide us either directly at support@seobotai.com or via third-party sites and tools with information and feedback concerning errors, suggestions for improvements, ideas, problems, complaints, and other matters related to our Service (“Feedback”).
You acknowledge and agree that: (i) you shall not retain, acquire, or assert any intellectual property right or other right, title, or interest in or to the Feedback; (ii) SEObot AI may have development ideas similar to the Feedback; (iii) Feedback does not contain confidential information or proprietary information from you or any third party; and (iv) SEObot AI is not under any obligation of confidentiality with respect to the Feedback.
In the event the transfer of the ownership of the Feedback is not possible due to applicable mandatory laws, you grant SEObot AI and its affiliates an exclusive, transferable, irrevocable, free-of-charge, sub-licensable, unlimited, and perpetual right to use (including copy, modify, create derivative works, publish, distribute, and commercialize) Feedback in any manner and for any purpose.
You may request an export of your Account data and Generated Content associated with Domains you manage by contacting us at support@seobotai.com. We will provide such data in a structured, commonly used, and machine-readable format within a reasonable timeframe. Data exports include Generated Content, keyword data, and publishing history. Data exports do not include proprietary SEObot AI algorithms, internal analytics, or platform-specific metadata that constitutes our intellectual property.
BY USING THE SERVICE OR OTHER SERVICES PROVIDED BY US, YOU ACKNOWLEDGE THAT YOU HAVE READ THESE TERMS OF SERVICE AND AGREE TO BE BOUND BY THEM.
